Section 1, Types of Memberships.
There shall be three types of memberships: (1) Proprietary;
(2) Regular; and (3) Social. Within the Regular
membership, there may be classifications as designated in
Section 3. (Amended 11/18/03)
Section 2, Proprietary.
A. The term "proprietary member", as used in these bylaws,
refers to one who owns a membership certificate.
Proprietary members shall have all privileges of the Club and
alone shall have an interest in the property of the Club and
have a right to vote. Those members who subscribed for a
certified certificate of ownership prior to August 1, 1972,
shall be designated as charter members. Any certified
certificate owner shall have the right at any time to become an
active dues-paying member except that this option shall not be
exercised by such member more than one time. Basic policy
is that there will be no changes downward; however, the Board
has the power to grant special exceptions, but does not include
seasonal changes. Those proprietary members of record on
November 1, 1978, and those admitted subsequently, having paid
all fees, dues, assessments, and having made arrangements to
satisfy certificate indebtedness and are otherwise in good
standing and shall be the sole owners of Rocky Bayou Country
Club and its possessions. After November 1, 1978, the
number of proprietary members shall not exceed 196. Any
proprietary member desiring to terminate will do so in
accordance with Article VII of the Bylaws. (Amended

B. Effective September 1, 1981, applicants for proprietary
membership shall pay non-refundable initiation fees and dues in
accordance with the current schedule as established by vote of
the proprietary members.
For the above classification, any new applicant must purchase a
membership certificate at the current assessed value in addition
to the required initiation fee. (Amended 11/17/92).
Section
3, Regular Members.
A. Regular Members shall be members who shall have all
privileges of the Club, but who shall own no membership
certificate, have no interest in the property of the Club, and
have no voting right. Regular members shall pay
non-refundable initiation fees and dues in accordance with the
current schedule as established by vote of the proprietary

B. Young Adults (Age 18 to 35).
Young Adult is a
classification of regular members for those who have not reached
their 36th birthday. At any one time there shall be no
more than twenty-five young Adult memberships. Young Adult
regular members shall have the same privileges as a regular
member, shall own no membership certificate, have no interest in
the property of the Club, and have no voting right. Young
Adult regular members shall pay no initiation fee, but shall pay
other fees in accordance with the current schedule as
established by vote of the proprietary members, and shall pay
monthly dues at a rate 1/3 less than the current schedule as
established of the proprietary members. Upon the first
family member reaching age 36, young adult regular members may
convert to regular membership if one is available. Those
who wish to convert to regular membership are required to pay
the full initiation fee at the time. Upon payment of the
initiation fee, they would then convert to regular membership
status including current fees and dues. The above does not
preclude acquiring a regular or proprietary membership at any
time. Acquisition of proprietary membership shall require
payment of the full proprietary initiation fee in effect at that

C. Corporate Memberships.
Corporate
memberships are a classification of regular members for the
purpose of providing corporate employees the facilities of the
club. Verification of corporate/business status will be
required to apply for this membership.
At any
one time there shall be no more than 25 corporate memberships. A
company must pay a one time initiation fee of $2500 regardless
of number of cards issued. A company must purchase and maintain
a minimum of two membership cards and a maximum of eight
membership cards at current club dues. Each card has its own
account. A Company may add cards at any time. Regular member
policies, rules and regulations shall apply to the cardholder.
Memberships may be transferred to another employee of the
company in the event of resignation or termination. Corporate
memberships are non-proprietary. Employees designated as card
holders shall have the same
privileges as a full regular member. They shall own no
membership certificate, have no interest in the property of the
Club, and have no voting right.
D. Military Memberships.
Military membership is a
classification of regular members for those who are serving on
active duty in U.S. armed services. At any one time there
shall be no more than twenty-five military regular memberships.
A military regular member shall have the same privileges as a
regular member, shall own no membership certificate, have no
interest in the property of the Club, and have no voting right.
Military regular members shall pay no initiation fee, but shall
pay dues in accordance with current schedule as established by
vote of proprietary members. Membership ceases 30 days
after retirement or separation from active duty. Upon
retirement or separation from active duty from the armed forces,
military members may convert to regular membership if one is
available. Those who wish to convert to regular membership
are required to pay the full initiation fee in effect at the
time. Upon payment of the initiation fee they would then
convert to regular membership status, including current fees and
dues. The above does not preclude acquiring a regular or
proprietary membership at any time. Acquisition of
proprietary membership shall require payment of the full
proprietary initiation fee in effect at that time.

E. Seasonal Memberships
Seasonal membership is
a classification of regular membership for persons whose
permanent residence is greater than 100 miles from the club. At
any one time there shall be no more than twenty-five seasonal
memberships. Seasonal regular members shall have the same
privileges as regular members during their periods of
membership, except that they shall own no membership
certificate, have no interest in the property of the Club, and
have no voting rights. Seasonal regular members shall pay no
initiation fee. There will be a
minimum of three months commitment paid up front at the cost of
$1,200 + tax. An option for additional months at $325 + tax per
month up to a maximum of six months total will be available. The
additional months must be consecutive after the initial three
months. Seasonal rates will be subject to periodic adjustment
at the discretion of the Board of Directors of Rocky Bayou
Country Club.
Seasonal
members must adhere to the member food minimum at the current
rate for the time period they are members.
Seasonal
members must ride at standard club cart rental rates or purchase
gold card at present rate. The
above does not preclude acquiring a regular or proprietary
membership at any time.
F. Emeritus Memberships
Emeritus membership is
a classification of regular membership for proprietary members
in good standing whose age and consecutive years of dues-paying
membership in Rocky Bayou Country Club total at least one
hundred (100.) To become an Emeritus member, a member must sell
his or her membership to a non-proprietary member or transfer it
to an immediate family member. The number of Emeritus
memberships shall total no more than twenty-five at one time. A
list of members requesting Emeritus status will be established
and ranked. The individual with the largest number when
combined age and years of membership are considered is the top
ranked person. Rankings continue according to that process. If
a vacancy occurs, as in less than 25 Emeritus members, the top
ranked candidate will be notified that he/she can move to
Emeritus status. Emeritus members are entitled to all
privileges of our Club afforded to Regular members with the
exception that an Emeritus member may maintain use of a private
cart. Emeritus members may not hold office and will not be
eligible to vote. The dues of each Emeritus membership shall be
fixed on the date of issuance of the new membership. Dues shall
be fixed at a rate which is equal to two-thirds the current
Proprietary membership’s dues, and two-thirds the charge for
trail fees. All minimum charges as determined by the Board of
Directors shall continue to apply to the Emeritus member.
Emeritus memberships shall not be subject to assessment.
Emeritus memberships shall be transferable only to the surviving
spouse of the emeritus member. If an Emeritus member chooses to
leave Rocky Bayou Country Club, membership and all rights to the
club are relinquished.
Section
4, Social Members.
Social members shall be members who have all the privileges of
the Club except they may play golf only by paying full guest
green fees and full cart rental fees. Social members shall
own no membership certificate, have
no interest in the property of the Club, and have no voting
right. Social members shall pay non-refundable initiation
fees in accordance with the schedule as established by vote of
the proprietary members. (Amended 11/17/92, 5/18/93,

Section
5, Amount of Fees and Dues.
The amount of monthly dues and/or initiation fees to be paid by
a member shall be determined by a two-thirds majority vote at a
meeting of the proprietary members. Any proposed changes
to the dues or initiation fees must be advised to the
proprietary members at least 14 days prior to any voting on such
proposal. (Amended 11/17/92 and 11/21/95).
Section 6, Request for
Change in Status.
All requests pertaining to membership must be made in writing to
the Board. (Amended 11/17/92)
