Section 1, Semi-Annual meetings.

 

      A meeting of the proprietary members (the voting membership) shall be held on the third Tuesday in November and on the third Tuesday in May each year at an appropriate place and time set by the Board.  If for any reason the semi-annual meeting shall not be held as herein provided, the president shall order a special meeting of the proprietary members to be called and to be held in lieu of and for the purposes of the semi-annual meeting.  The Board will appoint a parliamentarian, who will rule with finality on any question of rules or points of order.  (Amended 11/21/95).

 

Section 2, Special Meetings.

 

      A special meeting of the proprietary members shall be called by the secretary, if ordered to do so by the Board or upon the written request of any 40 proprietary members.

 

Section 3, Proxy.

 

      There shall be no voting by proxy.

 

Section 4, Quorum.

 

      At least 40 proprietary members shall constitute a quorum.

 

Section 5, Voting.

 

      Each proprietary member in good standing shall have one vote.  The affirmative vote of a majority of the members present at any meeting of the proprietary members is required for action at such meeting.  (Amended 11/18/03).

 

Section 6, Absentee Ballots.

 

      Absentee ballots may be cast in a manner prescribed by the Board; however, alterations to the proposed actions may be made at the meeting without prior notification to the absent member. 

 

Absentee ballots will be forwarded to members upon application.  These ballots must be returned to the

secretary prior to the vote at a meeting of the proprietary members.
