      The Board of Directors (the Board) shall consist of nine proprietary members, including the following officers:  President, Vice-President, Treasurer, and Secretary.

      All officers shall hold office for one year and until their successors are elected.  Any member of the Board may resign by submitting a letter of resignation to the Board.  All resignations will be effective on the date of the letter of resignation.  Any officer may be removed by the Board for cause shown, provided three-fourths of the Directors present vote for the removal.  When a vacancy on the Board occurs for any reason prior to completion of term, the vacancy shall be filled by one elected at the next meeting of the proprietary members.

     The Board shall be elected by ballot at the May meeting of the proprietary members of the Club.  The President, Vice-President, Treasurer, and Secretary shall be elected by the Board at the first meeting of the Board after the May meeting of the proprietary members. 

      Each director will be elected for a 3-year term.  No director shall be eligible to serve more than two successive terms of office and at least a 12-month period must pass before a director shall again be eligible to serve.  (Amended 5/19/92)

Section 2, Conduct of Meetings.

      The rules contained in Robert’s Rules of Order shall govern the Club in the conduct of all meetings.  (Amended 5/19/92).
